Terms of Service

The terms governing your access to and use of Prece.

These Terms of Service ("Terms") are a binding agreement between you and Prece ("Prece", "we", "us", or "our") and govern your access to and use of our websites, applications, and related services (collectively, the "Services"). By clicking to accept these Terms, creating an account, entering into an order for the Services, or accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you accept these Terms or use the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms, and "you" refers to that organization.

Please read Section 12 (Disclaimers) and Section 13 (Limitation of liability) carefully. They limit our liability to you.

1. Definitions

  • "Operator" means a childcare center, school, fitness facility, or similar organization that subscribes to or uses the Services.
  • "End User" means a parent, guardian, member, or other individual who interacts with an Operator through the Services.
  • "Customer Data" means information that an Operator or its users submit to, or generate through, the Services.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract to use the Services.
  • You must provide accurate registration information and keep it current.
  • You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at support@prece.com of any unauthorized use.

3. The Services

Subject to these Terms, Prece grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business or personal purposes during the term of your subscription or use. We may update, modify, or discontinue features of the Services from time to time. We may also establish reasonable usage limits.

4. Customer Data

  • Ownership. As between you and Prece, the Operator retains all rights in its Customer Data. Prece does not claim ownership of Customer Data.
  • License to Prece. You grant Prece a worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Data solely as needed to provide and support the Services and as permitted by our Privacy Policy.
  • Your responsibilities. You represent and warrant that you have all rights, permissions, and consents necessary to provide Customer Data to Prece and to authorize its processing, including, where applicable, consents from parents, guardians, and other individuals for the collection and use of their information and their children's information, and consent to receive email and SMS communications.
  • Accuracy and lawfulness. You are responsible for the accuracy, quality, and legality of Customer Data and the means by which you acquired it.

5. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Services in violation of any applicable law or regulation;
  • upload or transmit unlawful, infringing, harmful, or deceptive content;
  • send messages without the consent required by applicable law, or send unlawful, harassing, or unsolicited communications;
  • attempt to gain unauthorized access to the Services or related systems, or disrupt, interfere with, or circumvent security features or usage limits;
  • reverse engineer, decompile, or attempt to derive source code from the Services, except to the extent permitted by law;
  • copy, resell, sublicense, or commercially exploit the Services except as expressly permitted;
  • use the Services to build a competing product or to benchmark without our prior written consent.

6. Fees and payment

If you subscribe to a paid plan, you agree to pay all applicable fees described at the time of purchase or in your order. Unless stated otherwise: fees are billed in advance and are non-refundable except as required by law; subscriptions renew automatically for successive periods until cancelled; you authorize us and our payment processor to charge your payment method for amounts due; and you are responsible for applicable taxes. We may suspend the Services for non-payment after providing reasonable notice.

7. Third-party services

The Services rely on or integrate with third-party services (for example, hosting, payment processing, and email and SMS delivery). Those providers have their own terms and privacy practices, and we are not responsible for their acts or omissions.

8. Text messaging (SMS)

If an End User provides a mobile number and consents, Operators may send SMS text messages through the Services, including direct messages from staff and announcements. By enabling or using SMS features, an Operator represents that it has obtained the consent required by applicable law and carrier requirements from each recipient.

  • Message frequency varies. Message and data rates may apply.
  • Recipients may reply STOP to opt out, START to opt back in, or HELP for help.
  • Consent to receive text messages is not a condition of enrolling in or purchasing any service.
  • Mobile carriers are not liable for delayed or undelivered messages.

9. Intellectual property

The Services, including all software, text, designs, and other content provided by Prece (excluding Customer Data), and all related intellectual property rights, are owned by Prece or its licensors. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

10. Feedback

If you provide suggestions or feedback about the Services, you grant Prece a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation to you.

11. Term and termination

These Terms apply while you access or use the Services. You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination (including Sections 4, 9, 12, 13, 14, and 15) will survive. Following termination, we will handle Customer Data as described in our Privacy Policy and any applicable order.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PRECE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE SERVICES ARE A TOOL TO SUPPORT YOUR OPERATIONS AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL, MEDICAL, OR LEGAL JUDGMENT.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PRECE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PRECE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID PRECE FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You will defend, indemnify, and hold harmless Prece and its affiliates and their officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your Customer Data, your use of the Services, or your breach of these Terms or applicable law.

15. Governing law and dispute resolution

These Terms are governed by the laws of the state in which Prece maintains its principal place of business, without regard to its conflict-of-laws rules. Subject to any binding arbitration agreed between the parties, the exclusive venue for any dispute arising out of or related to these Terms or the Services will be the state or federal courts located in that state, and you consent to the personal jurisdiction of those courts. Before filing a claim, you agree to first contact us at legal@prece.com and attempt to resolve the dispute informally in good faith.

16. Changes to the Services and these Terms

We may modify these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting a notice within the Services, emailing the address on your account, or updating the "Last updated" date above. Changes are effective when posted. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and cancel your subscription.

17. Miscellaneous

  • Electronic acceptance. These Terms may be accepted electronically. Checking a box, clicking a button indicating acceptance, or continuing to use the Services after notice each constitutes your electronic signature, and these Terms are enforceable against you to the same extent as a signed written agreement. Our records of your acceptance (including the date, time, accepted version, and related technical information) are evidence of your agreement.
  • Entire agreement. These Terms, together with any order and our Privacy Policy, are the entire agreement between you and Prece regarding the Services.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Relationship. The parties are independent contractors; these Terms create no partnership, agency, or employment relationship.
  • Notices. We may provide notices through the Services or by email. Legal notices to Prece must be sent to legal@prece.com.
